Zepto has granted sizeable employee stock option (ESOP) awards to key members of its leadership team during FY26 as the quick commerce company prepares for its anticipated market debut.
According to company disclosures, Zepto expanded its ESOP pool by 246.5 million options during the year, reflecting its continued focus on retaining and incentivizing senior talent ahead of a potential initial public offering (IPO). The move comes as competition for experienced executives remains intense across India's startup and technology ecosystem.
Among the senior leaders receiving significant stock option grants were Chief Financial Officer Ramesh Bafna and Chief Business Officer Samad Shariff, alongside other members of the company's leadership team. The grants form part of Zepto's broader employee compensation and retention strategy as the company scales operations and pursues long-term growth.
Despite the increase in the ESOP pool, the number of employees receiving stock option grants declined during FY26. The recipient count fell to 1,725 employees from 2,351 employees in FY25, indicating a more concentrated allocation of equity incentives toward key personnel and strategic roles.
The expansion of the ESOP program comes at a time when Zepto is strengthening its organizational structure and preparing for the regulatory and governance requirements associated with becoming a publicly listed company. Employee stock ownership plans have become a critical tool for startup companies to attract and retain talent while aligning employee interests with long-term shareholder value creation.
India's quick commerce sector has witnessed rapid growth over the past few years, with companies investing heavily in logistics networks, technology infrastructure, and talent acquisition. As competition intensifies, equity-based compensation remains an important mechanism for retaining senior executives and rewarding performance.
Zepto's decision to increase its ESOP pool ahead of a potential listing highlights the company's efforts to ensure leadership continuity and employee participation in future value creation as it enters its next phase of growth.

India's 2026 Monsoon : When the Rain Becomes a Risk

A deficient monsoon could weigh on agricultural output, rural incomes, food inflation, and overall economic growth, while creating sector-specific winners and losers across the equity market.
