Suzlon Faces Governance Heat As Sebi Penalty Triggers Fresh Investor Concerns

Renewable energy major Suzlon Energy witnessed sharp selling pressure on June 1 after investors reacted to Sebi’s decision to impose penalties totaling ₹28.95 crore on the company and several former senior executives over alleged financial reporting lapses spanning multiple years. The stock fell as much as 4.46% during intraday trade before recovering part of the losses, reflecting concerns around regulatory risk rather than operational performance.


The regulatory action stems from a long-running investigation initiated after an anonymous complaint received in December 2019. Sebi's probe examined a series of transactions involving subsidiaries and related entities between FY15 and FY21 and concluded that certain disclosures failed to present what it described as a “true and fair view” of the company’s financial position, profitability, leverage and risk exposure.


According to the regulator, Suzlon allegedly used intra-group transactions and accounting treatments that created an inflated picture of its financial strength.


Sebi highlighted transactions involving subsidiaries where funds were routed through multiple entries without corresponding economic substance, while certain business transfers were executed at values significantly higher than their recorded book values. The regulator argued that these disclosures had the potential to mislead investors regarding the company’s actual financial health.


The order marks a significant shift in the case because Sebi overturned an earlier adjudication outcome that had cleared the company and certain executives of wrongdoing. The latest ruling imposed a penalty of ₹15.95 crore on Suzlon Energy, while separate penalties were levied on promoter and management personnel including Vinod R. Tanti, Girish R. Tanti and former finance executives. The regulator directed the entities to comply with the order within the stipulated period.


Suzlon has already indicated that it intends to challenge the order before the Securities Appellate Tribunal (SAT), arguing that it disagrees with the findings and will pursue available legal remedies. The company has also maintained that its business operations remain unaffected by the order.


The development comes at a sensitive time for the company. Suzlon has spent the past few years rebuilding investor confidence after a prolonged debt restructuring phase and has emerged as one of the biggest beneficiaries of India's accelerating renewable energy push. Strong order inflows, improved balance-sheet metrics and expanding wind energy opportunities had helped the stock generate substantial returns over recent years.
