Sun Pharmaceutical Industries has announced that shareholders of US-based Organon & Co have approved the proposals related to the previously announced merger, marking a key milestone in the company's proposed acquisition of the pharmaceutical firm.
Under the transaction, Organon will become a wholly owned subsidiary of Sun Pharmaceutical Holdings USA, an indirect wholly owned subsidiary of Sun Pharma. The shareholder approval advances the acquisition process, although the transaction remains subject to regulatory clearances and other customary closing conditions.
Sun Pharma had announced the acquisition in April 2026 in a deal valued at approximately $9.4 billion, including debt. The transaction is the largest acquisition in the company's history and is expected to be completed by early 2027, subject to all necessary approvals.
