SEBI cracks down on RRP Semiconductor after extreme stock surge flags possible manipulation

SEBI has barred 39 entities from the securities market and impounded nearly Rs 2 crore following an interim probe into abnormal price movement in RRP Semiconductor. The regulator has flagged potential coordinated trading and misuse of preferential allotment structures, raising broader concerns around surveillance gaps in microcap stocks.

In a significant regulatory intervention, the Securities and Exchange Board of India (SEBI) has issued an interim order restraining 39 individuals and entities from participating in the securities market in connection with trading activity in RRP Semiconductor Limited. The action comes after a preliminary investigation into what the regulator describes as an extraordinary and potentially manipulated price movement in the company’s shares.


The case stands out for the sheer magnitude of the stock’s rise. According to SEBI’s findings, the share price surged from Rs 15 in April 2024 to Rs 10,887.10 by October 2025 a nearly 725-fold increase within a span of 19 months. Such a sharp and sustained escalation triggered regulatory scrutiny, especially given the relatively obscure nature of the company prior to its transition.


The company, previously known as G D Trading and Agencies Ltd., repositioned itself as a semiconductor-focused entity during this period. Alongside this strategic shift, it carried out a preferential allotment of approximately 1.35 crore shares at Rs 12 per share. The allotment materially altered the ownership structure, with promoter holding falling to just 1.28 percent, while public shareholding rose to 98.72 percent.


SEBI’s investigation highlights that a large portion of this allotment—about 1.01 crore shares or 74.5 percent of the expanded capital—was issued to Rajendra Kamalakant Chodankar, who was classified as a public shareholder. The regulator has flagged this classification as part of a broader pattern of concern, especially given the level of influence implied by such a large holding.


Further, the order notes that Chodankar played a role in bringing in multiple investors into the preferential allotment. Analysis of call detail records and financial transactions indicated connections between several allottees, suggesting a network of linked participants. SEBI observed that certain fund transfers among these entities and overlapping communication patterns raise prima facie concerns of coordinated activity.


The regulator also pointed to the role of specific market participants in influencing the last traded price (LTP) of the stock. Entities such as Multiplier Share & Stock Advisors Pvt. Ltd., Pace Stock Broking Services Pvt. Ltd., and Neo Apex Venture LLP were identified as key contributors to price movement. Based on these findings, SEBI has ordered the impounding of approximately Rs 2 crore in alleged unlawful gains linked to these entities.


In its order, SEBI Whole Time Member Amarjeet Singh stated that the preliminary examination indicates violations of provisions under the SEBI Act and the Prohibition of Fraudulent and Unfair Trade Practices (PFUTP) Regulations. The alleged violations include manipulative trading practices and coordinated actions aimed at artificially influencing stock prices.


As part of the interim directions, the regulator has restrained the entities from buying, selling, or dealing in securities and directed depositories to freeze their holdings in RRP Semiconductor. Bank and demat accounts associated with these entities have also been restricted, pending compliance with the impounding directives. The affected parties have been given 21 days to respond to the findings.


From a broader market perspective, this case underscores persistent vulnerabilities in the smallcap and microcap segments, where sharp re-rating narratives—such as a shift into emerging sectors like semiconductors—can attract speculative flows. The transformation narrative of RRP Semiconductor appears to have coincided with aggressive price discovery, raising questions about the robustness of disclosure standards and investor due diligence.


For Indian markets, the development reinforces SEBI’s increasingly proactive stance on surveillance and enforcement, particularly in cases involving suspected price manipulation. It also signals a tighter regulatory lens on preferential allotments and ownership restructuring, which can sometimes be used as vehicles for market abuse.


From a sectoral standpoint, the case does not directly reflect on the fundamentals of India’s semiconductor ambitions but highlights the risk of speculative excess attaching itself to high-growth themes. Investors may need to distinguish between genuine capacity-building plays and opportunistic rebranding exercises.
