SBI Mutual Fund scales faster than peers as retail and passive shift reshape asset management landscape

SBI Mutual Fund’s draft prospectus reveals a sharp outperformance over listed peers in revenue and profitability, backed by scale, distribution reach, and rising retail participation. However, the growth is increasingly tilted toward passive and institutional assets, raising questions around long-term yield dynamics.

India’s largest asset manager, SBI Mutual Fund, is preparing for a public listing with a 10% offer-for-sale, at a time when its financial and operational metrics are diverging meaningfully from its listed peers. The draft red herring prospectus, filed on March 19, highlights a three-year period of accelerated growth, supported by scale advantages, deeper retail penetration, and a strong push into passive products.

The company is set to become the sixth listed asset management company in India, joining an already competitive space dominated by established players. However, the data suggests that SBI Mutual Fund is not just participating in industry growth but actively reshaping the competitive hierarchy.

Between FY23 and FY25, revenue from operations grew 66% to Rs 3,598 crore, significantly outpacing peers such as HDFC Asset Management Company and ICICI Prudential AMC, which reported growth of 32% and 28%, respectively. The trend continues in the current fiscal, with revenue at Rs 3,251 crore for the nine months ended December 2025, as per disclosures in the Securities and Exchange Board of India filing.

Profitability shows an even sharper divergence. Profit after tax rose 90% over the same period to Rs 2,540 crore, indicating stronger operating leverage. In contrast, peer growth remained in the 30–37% range. This suggests that SBI Mutual Fund is benefiting not just from scale, but from cost efficiency and a business mix that allows earnings to expand faster than revenues.

A key driver of this outperformance is asset growth. Assets under management increased 40% to Rs 26.27 lakh crore in FY25 and further to Rs 29.04 lakh crore by December 2025, translating into a 15.4% market share. The company also holds a dominant position in passive funds, alternatives, and portfolio management services, indicating a diversified product mix.

However, this growth profile is not without structural nuances. A meaningful portion of incremental AUM has come from institutional and quasi-government mandates. These flows provide stability and scale but typically come at lower fee yields. Passive products, which now form a larger share of the portfolio, also carry lower margins compared to actively managed funds.

This creates a dual dynamic. On one hand, lower yields can compress overall fee realisations. On the other, the scale of assets allows operating leverage to kick in, as costs do not rise proportionately. The result is stable margins around 25% excluding passive products—combined with rising absolute profits. This is a model increasingly seen across global asset managers, where scale compensates for margin compression.

Distribution remains central to this strategy. SBI Mutual Fund’s access to over 20,000 bank branches and a wide distributor network has enabled it to cover nearly 98% of India’s pin codes. This reach is now translating into a structural shift in growth geography.

Expansion beyond top cities has emerged as a defining trend. The company leads in B30 locations, with a 19.3% share of industry AUM in these regions. Assets from smaller cities grew 67% over two years to Rs 2.45 lakh crore in FY25 and further to Rs 2.92 lakh crore by December 2025. This growth has outpaced T30 expansion, which rose 46% over the same period.

The shift indicates that incremental flows are increasingly coming from beyond metro markets, reflecting deeper financialisation of savings in semi-urban and rural India. While peers such as ICICI Prudential AMC and HDFC AMC have reported stronger growth in T30 regions, their B30 expansion, though faster in percentage terms, is on a smaller base.

Retail participation is also strengthening. The SIP book has expanded sharply, with assets rising 68% over two years and the investor base growing to 14.7 million. This signals a transition toward more stable, long-term flows, reducing reliance on volatile institutional money.

From an industry perspective, SBI Mutual Fund’s trajectory underscores two key structural shifts in India’s asset management space: the rise of passive investing and the deepening of retail participation beyond urban centres. Both trends are likely to influence competitive dynamics, fee structures, and distribution strategies across the sector.

For Indian markets, the upcoming listing could have broader implications. It may lead to re-rating discussions within the AMC space, especially if investors begin to differentiate more sharply between scale-driven models and yield-driven models. The performance of SBI Mutual Fund post-listing could also set benchmarks for future AMC valuations.
