NRB Bearings Promoter Cuts Pledged Shareholding After Debt Reduction

NRB Bearings Ltd has announced a substantial reduction in promoter share pledging after Managing Director Harshbeena Zaveri released 19.6 million shares from pledge. As a result, the pledged portion of the promoter group's shareholding declined sharply from 31.64 percent to 11.42 percent.
According to the company, the reduction was facilitated through a block deal transaction that helped lower promoter-level debt. The transaction also saw participation from institutional investors including Arohi Capital, PGIM, Alchemy and Arcadian, strengthening the company's investor base.
The development comes amid improving business performance. NRB Bearings reported an 11 percent increase in revenue and an EBITDA margin of 19.5 percent. The company said stronger cash flows are being deployed to support capacity expansion across its automotive, industrial and export-oriented businesses.
NRB's automotive strategy remains focused on products that are agnostic to the transition between electric vehicles and internal combustion engine vehicles, allowing the company to benefit regardless of the industry's technology shift.
The company is also pursuing growth in its industrial segment, which currently contributes around 12-14 percent of total revenue. NRB aims to increase this share to 25 percent by 2031 through a combination of joint ventures and acquisitions.
Key focus areas for industrial expansion include aerospace, defence, industrial gearboxes, construction equipment and data centre-related applications. In addition, the company is seeking to expand its international footprint, with exports currently accounting for 20-25 percent of revenue. As part of this strategy, NRB is pursuing a Make in USA initiative to cater to demand from the American market.
The company highlighted its product development capabilities, engineering expertise and research and development investments as key factors supporting long-term customer relationships and future growth.
Following the announcement, NRB Bearings shares traded at Rs 436 on the BSE, up 2.37 percent from the previous close.
